1. Acceptance of These Terms

By accessing this website, submitting a form, booking services, or opting in to receive text messages from CoreSpring Health LLC, you agree to these Terms of Use. If you do not agree, please do not use this website or enroll in our messaging program.

2. Website and Service Description

CoreSpring Health LLC is a physician-led executive health consulting practice. Services are provided under the direct clinical oversight of a licensed physician and include physician-led health assessments, executive wellness consultations, functional medicine-informed evaluations, care coordination, and related consulting services.

The following defines the scope and limits of the consulting relationship:

Physician-led consulting, not primary care. Engaging with CoreSpring Health LLC creates a limited physician-consulting relationship scoped exclusively to enrolled services. CoreSpring Health LLC does not serve as your primary care physician (PCP) and does not assume responsibility for comprehensive, continuous, or emergency medical care.
Maintain a primary care physician. All clients are required to maintain an independent PCP for routine, ongoing, and emergency medical care.
No emergency services. CoreSpring Health LLC does not provide emergency medical services. In any medical emergency, call 911 or go to the nearest emergency room immediately.
Clinical judgment applies. Because services are provided by a licensed physician, the applicable standard of care for the defined scope of consulting services is that of a reasonably competent physician practicing in the relevant specialty.

General informational content on this website does not create a physician-patient relationship unless and until you formally enroll and are accepted as a patient under separate clinical documents.

3. SMS Program — CoreSpring Health Messaging

CoreSpring Health LLC operates an SMS messaging program (“CoreSpring Health SMS Program”). By opting in, you agree to receive text messages related to your relationship with CoreSpring Health LLC. These messages may include:

Appointment reminders and scheduling confirmations or changes
Account or service notifications
Customer support and follow-up communications
Limited promotional or marketing messages, only if you have expressly opted in to receive them

Message frequency varies. Consent to receive SMS messages is not a condition of purchase.

4. Consent to Receive Text Messages

By providing your mobile number and opting in, you expressly consent to receive recurring automated and non-automated text messages from CoreSpring Health LLC at the number provided. You represent that you are the authorized user of the mobile number provided and that you are permitted to consent to receive messages at that number.

5. Opt-Out Instructions

You can cancel the SMS service at any time. Simply text “STOP” to the shortcode or text-enabled number. Upon sending “STOP,” we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from CoreSpring Health LLC unless you opt in again.

6. Rejoining Instructions

To rejoin the program after opting out, sign up again through the original opt-in method you used, or contact us at info@corespringhealth.com. Once you re-enroll, we will resume sending SMS messages to your mobile number in accordance with your consent.

8. Message and Data Rates

9. Carrier Liability Disclaimer

Carriers are not liable for delayed or undelivered messages.

10. Acceptable Use of the Site

You are authorized to access and use this website for your own personal, non-commercial purposes. You agree not to: (i) duplicate, publish, or distribute site content without written authorization; (ii) attempt to breach site security or gain unauthorized access to any system or data; (iii) transmit spam, malicious code, or unlawful content; (iv) misrepresent your identity or affiliation; or (v) use automated means to access the site without prior written consent.

You represent that any information you submit through the site is truthful, accurate, not misleading, and offered in good faith.

14. Warranty Disclaimer

THE SITE AND ITS GENERAL INFORMATIONAL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THIS DISCLAIMER APPLIES TO GENERAL WEBSITE CONTENT ONLY AND DOES NOT LIMIT THE STANDARD OF CARE APPLICABLE TO PHYSICIAN-LED CONSULTING SERVICES DELIVERED UNDER A SIGNED SERVICE AGREEMENT. CORESPRING HEALTH LLC DOES NOT WARRANT THAT THE SITE WILL OPERATE UNINTERRUPTED OR ERROR-FREE.

15. Limitation of Liability

WITH RESPECT TO GENERAL WEBSITE USE AND THE SMS PROGRAM, TO THE FULLEST EXTENT PERMITTED BY LAW, CORESPRING HEALTH LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR PARTICIPATION IN THE SMS PROGRAM.

Liability arising from physician-led Consulting Services provided under a signed service agreement is governed by that agreement and applicable professional liability standards. Nothing in these Terms limits CoreSpring Health LLC’s liability for gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless CoreSpring Health LLC and its officers, directors, employees, and agents from any claims, damages, or actions arising from: (i) your use of the site or SMS program in violation of these Terms; (ii) your violation of any applicable law; or (iii) your provision of false or misleading information.

17. Termination

CoreSpring Health LLC may terminate, restrict, or suspend your access to the site or SMS program at any time, in its sole discretion, without prior notice. Termination of site or messaging access does not automatically terminate any signed service agreement for Consulting Services.

18. Changes to These Terms

CoreSpring Health LLC may update these Terms from time to time. Updates will be posted on this page with a revised effective date. Continued use of the website or messaging program after changes are posted constitutes acceptance of the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute not resolved by mutual agreement shall be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. Either party may seek injunctive relief in the appropriate state or federal courts located in Ohio.
